Posting rules for sponsors

Follow these rules in every video, post, email, webinar, call and conversation about your deal. Breaking them can end your deal and cause you real legal trouble.

Version 2026-10-20 · Last updated October 20, 2026

01

Know which kind of deal you have

Rule 506(c) deals may be promoted publicly, including on social media, but only verified accredited investors may invest. Rule 506(b) deals may not be advertised or promoted publicly at all; share them only with people you already have a substantive relationship with, formed before you talked about the deal. If you’re unsure, ask us before posting.

02

Be accurate and balanced

Every claim must be true and not misleading. Whenever you mention returns, also say they are projections, not promises, and that investors can lose money. Don’t cherry-pick your best past deal without mentioning the others. Use the same numbers as your offering documents.

03

Never say

Don’t say or imply a return is guaranteed, “safe”, “risk-free”, “can’t lose”, “passive income for life” or that investors’ money is insured or protected from loss. Don’t say DoorRaise, the SEC, a state or anyone else has approved or endorsed the deal. Don’t pressure people with false deadlines or fake scarcity. Don’t offer or give anything of value for investing. Don’t give anything of value to anyone for referring investors, unless the recipient is a registered broker-dealer and it is disclosed in the offering documents and approved by us. Don’t describe DoorRaise as a bank, a broker or an adviser.

04

Point people to the documents

Send investors to your DoorRaise deal page for the full terms, fees and risks. Don’t give side terms, promises or discounts that aren’t in the offering documents. Don’t discuss terms in private messages that you wouldn’t put on the deal page.

05

Projections

Use the same assumptions shown on your deal page. If you show a projected return, say what it depends on (for example, the sale price and rent growth assumed), say whether it is before or after fees (the return on your deal page is after all fees, and any figure you quote should be too) and keep the deal page up to date. Don’t present historical results of other deals as a forecast for this one.

06

Paid promoters

Don’t pay anyone to find investors, including other creators, unless they are a registered broker-dealer. Anyone who promotes your deal must clearly disclose any compensation from you, and you must tell us about them so they can be added to the bad actor checks. You are responsible for what they say.

07

Disclose your interest

In every post, video and email about your deal, say clearly that you are a sponsor and will be paid from the deal, and state any other connection. Follow the FTC rules on endorsements and use plain wording such as “I’m a sponsor of this deal and I’m paid from it”, not a hashtag buried at the end.

08

Review before you publish

Send us any video, post, email, webinar or script for review through your sponsor dashboard before you publish it. Don’t publish until we have said it’s approved. Approval means we saw nothing that breaks these rules; it doesn’t mean we checked every fact, and it doesn’t make DoorRaise responsible for what you say. Changes to approved material need a new review.

09

Comments, replies and messages

You are responsible for what you say in comments, replies, live chats, direct messages and calls. Don’t answer investment questions that aren’t answered by the offering documents with new promises. Don’t delete negative comments to hide information. Don’t ask people to post reviews or testimonials about returns.

10

Testimonials

If you share testimonials from past investors, they must be real, unpaid (or clearly say they were paid), and representative. Don’t use testimonials that suggest a guaranteed outcome. Keep proof of permission.

11

Take money only through escrow

Never ask anyone to send money to you, a friend, a wallet or a payment app. Send everyone to DoorRaise to commit; funds go only to the escrow agent. If someone tries to send money to you directly, refuse and tell us.

12

Keep records and fix problems fast

Keep a copy of everything you post or send about your deal for at least seven years. We may ask you to fix or remove anything that breaks these rules, and we may pause your deal until you do. If something you said turns out to be wrong, tell us the same day and correct it publicly and to investors.
